More time is not another $2 million
Kern Public Works’ proposed engineering-consulting amendment would move Mark Thomas & Company’s contract expiration from December 31, 2026 to April 9, 2029 while leaving maximum compensation at $2 million. The 830-day extension reaches the five-year limit that the department says was already provided for when the agreement became effective on April 9, 2024.
The accountability question is what supervisors are being asked to change when an agenda reports no fiscal impact. Comparing the staff letter with the actual one-page amendment establishes a narrower answer than either a new $2 million contract or free consulting work: the proposal changes the period in which work can occur under an existing ceiling. It does not add $2 million to that ceiling or establish that nothing remains to be paid.
Only the term box is marked
The amendment form lists separate possible changes to term, services, compensation, expenses and total amount payable. Only Term is marked. That clause extends the agreement through April 9, 2029 unless it is terminated sooner under the existing agreement. The services and money-change boxes are not marked, and the document says provisions not expressly amended remain in effect.
The staff letter independently states that maximum compensation does not change. It describes the original selection as a Request for Qualifications process and says the original agreement allowed amendments up to a five-year maximum. County Counsel approved the amendment as to form.
These details distinguish this proposal from a new procurement or a new scope authorization. They do not establish that the original selection process was defective, that the consultant failed to deliver work, or that an extension bypasses a requirement to competitively procure a separate new assignment.
| Element | Before/proposed treatment | Meaning |
|---|---|---|
| Original effective date | April 9, 2024 | Staff-reported start of Agreement 149-2024 |
| End date | December 31, 2026 → April 9, 2029 | 830 more calendar days |
| Maximum compensation | $2 million, unchanged | No additional ceiling in this amendment |
| Services change | Not selected on form | No new service description in this amendment |
| Payments and remaining headroom | Not stated | Cannot calculate unused authorization |
The ceiling cannot reveal what remains available
A not-to-exceed amount is a limit, not a payment ledger. The two-page attachment does not report invoices already paid, unpaid commitments, task-order balances or the portion of the $2 million still available. Therefore the unchanged ceiling cannot be treated as $2 million of new spending capacity through 2029.
Nor can dividing $2 million by five years establish the consultant’s annual billings. Work may be uneven, task orders may not use the full authorization, and the extension might allow already-planned assignments to finish. The reviewed record does not supply those project-level facts.
The letter describes engineering services for various Public Works projects but does not attribute the extension to a particular delayed road or bridge. This report does not infer a construction delay, a cost saving or a consultant performance problem from a contract end-date change.
The execution boundary is visible on the form
The copy supplied to supervisors bears approval and consultant signatures, but its effective-date line and the Board chairman’s signature line are blank. Those blanks make it unsuitable as proof that the extension was fully executed. The October 13 agenda recommends approval; a recommendation is not the final vote.
This is original document comparison of the staff explanation, the amendment’s operative clauses and the agenda’s fiscal-impact description. We re-retrieved the attachment on October 20, read both scanned pages and checked the 830-day interval. We did not obtain the original 2024 full agreement or a payment ledger, so the five-year allowance and original selection description are specifically attributed to the current staff letter. No claim about current expenditure or final Board action is based on the unsigned fields.
